What buyers pay for in commercial refrigeration.
Commercial refrigeration companies are not valued on EBITDA alone. Buyers underwrite the things that make earnings durable and transferable, the factors below, and companies that score well on them command the strongest multiples.
Multi-year or auto-renewing preventive-maintenance agreements are recurring, bankable revenue, the single biggest driver buyers price, provided no one account dominates the book.
Federal law requires Section 608 certification to service equipment containing regulated refrigerants, and in a trade this short on labor, a retained bench of certified refrigeration techs is the hardest asset for a buyer to replicate.
Grocery, cold-storage, and food-service accounts cannot tolerate downtime; a rack failure means product loss within hours. Customers like that stay with the contractor who keeps them running, and buyers pay for that stickiness.
After-hours dispatch, documented response times, and route density across your service territory are a competitive moat that acquirers underwrite directly.
Revenue spread across many accounts, with no single grocery chain or facility operator carrying the company, lowers buyer risk and lifts the multiple.
Crews that can retrofit and commission CO2 and other low-GWP systems sit in front of a regulation-driven replacement pipeline, a capability strategic buyers actively seek out.
A company that runs on service managers, dispatch software, and documented procedures, rather than the owner quoting and troubleshooting every job, widens the buyer pool and lifts the multiple.
Books with documented add-backs, contract schedules, and a clear service-versus-install revenue split keep offers strong and due diligence moving.
What reduces value
The same factors work in reverse. These are the issues that pull the multiple down or stall a deal:
Customer concentration, when one grocery chain or cold-storage operator drives a large share of revenue, buyers discount hard or push for earnouts.
Time-and-materials-only revenue, service work done without signed maintenance agreements is treated as far less durable than a contracted, renewing book.
Technician attrition and certification gaps, chronic churn among certified refrigeration techs raises buyer risk in a trade where the labor is the product.
An install-heavy revenue mix, project and construction work is lumpy and less durable than contracted service, and buyers price the difference.
Owner dependence, a company that relies on the owner to hold key accounts and diagnose the hard calls is harder to finance and cheaper to buy.
Most of these discounts are fixable in the 12 to 24 months before a sale. The earlier the preparation starts, the more of the multiple you keep.
Commercial Refrigeration businesses we represent.
A Neumann & Associates represents owners across the full range of commercial refrigeration and HVAC-R businesses valued at $1M and up.
What is your commercial refrigeration business worth?
Most commercial refrigeration contractors are valued on a multiple of earnings. A Neumann & Associates typically sees well-run mechanical and refrigeration companies trade at about 3x to 5x EBITDA, with strong recurring-revenue books, multi-year preventive-maintenance agreements across a diversified grocery, cold-storage, and food-service base, reaching up to 8x. What moves your number within that range is the share of revenue under signed maintenance contracts, renewal rates, customer concentration, the depth of your EPA-certified technician bench, emergency-response coverage, low-GWP retrofit capability, and clean, verifiable financials with a clear service-versus-install split. Because refrigeration is mission-critical to the customers it serves, buyers reward contracted service revenue here more than in almost any other trade. A confidential business valuation establishes your defensible number before you go to market.

The transactions below are drawn from A Neumann & Associates’ published deal announcements. Client identities remain confidential in every engagement, before and after closing.
A closed transaction in the adjacent HVAC mechanical trade: a residential & light commercial HVAC contractor with a niche in radiant heat, serving Ocean County and the surrounding NJ/PA region for over 25 years, with consistent revenue growth and high operating margins. The company was conservatively appraised by a national valuation firm at 4.1x EBITDA (ttm), and A Neumann & Associates provided introductions to acquisition lenders for this $1M transaction.

Refrigerant regulation has turned service demand structural. Under the AIM Act, HFC production and consumption are being phased down 85% by 2036, with a 40% cut below baseline in force from 2024 through 2028, which keeps legacy refrigerants scarce and every pound of leakage expensive. EPA leak-repair and refrigerant-management requirements for appliances holding 15 pounds or more of high-GWP refrigerant took effect January 1, 2026, and GWP limits on new supermarket and cold-storage systems begin phasing in across 2026 and 2027 before tightening again in 2032. Every grocery store, cold-storage warehouse, and food-service operator now needs certified refrigeration contractors for compliance, leak reduction, and low-GWP retrofits, a replacement pipeline measured in decades, not quarters.
The consolidators are real and active. CoolSys, the private-equity-backed refrigeration and HVAC services platform, has rolled up regional refrigeration contractors from Virginia to New England, while Orion Group, launched by Alpine Investors in 2020, has been acquiring commercial and industrial refrigeration and mechanical firms across the country. For a seller, that density of well-capitalized buyers means a well-run company, especially one with a contracted maintenance book and a certified technician bench, can draw competing offers rather than a single take-it-or-leave-it bid.
